STATUTES OF OUR COOPERATIVE:

ARTICLE 1. CONSTITUTION.

We constitute our Company as a Cooperative.

ARTICLE 2. NAME
The Company's name will be “Young Enterpreneurs at School”

ARTICLE 3: SOCIAL OBJECT.

Our Company has the following activities:

Sell the DVD we have produced about Aragón in English, French and Spanish. We will
also make different products to be sold at the market “Aprender a Emprender”.
We will learn how a cooperative works.

ARTICLE 4. DURATION.

The company is constituted on the 11th of March 2019 until June 2019.

ARTICLE 5. DOMICILE.

The registered office is Ceip Vadorrey “Les Allées”, C/Alfonso Zapater Cerdán s/n,
Zaragoza 50014.

ARTICLE 6. SHARE CAPITAL.

The share capital is fixed in 495 €. It is divided in 49 share participations of 5€ each.
Each kid will invest 3 € and we will ask a bank loan of 98€.

ARTICLE 7. INVESTMENT RECOVERY

Once all the sales are finished, all the members of the cooperative will recover their
investment, and the bank loan paid off.
The material which has not been used will remain at school.

ARTICLE 8: BENEFITS DESTINATION

10% of the benefits will go to a non profit organization.
The rest of the benefits will be invested in a recreational activity with the members of
this cooperative.

ARTICLE 9

If a member of this cooperative moves to another school, they will be given their
investment back.
Pupils who don't cooperate will not enjoy any of the benefits created by the
cooperative.

ARTICLE 10. DEPARTMENTS.

The management team will be composed of the president, secretary, treasurer and
vice president.
The President represents all the company and takes decisions when none of the options has
majority of votes.
The Vice President will help the president on his duties and will be on behalf of him/her if the
President is missing.
The secretary writes, in the cooperative's diary, all the topics we deal with and the agreements
we take. He/She keeps all documents and information.,

Our Treasurer deals with accounts of all expenditures and incomes of our cooperative.

There will be some departments created: Publicity-marketing; manufacturing;
accounts-material resources.

ARTICLE 11: MEMBERS DUTIES.

All members will cooperate in the manufacturing of all hand made products. If a
member does not take part or does not cooperate, measures will be taken.

ARTICLE 12. MEMBERS RIGHTS:

All members have the right to be listened in the decision making process about the
company and vote in the same
All members have the right to be respected.
All members have the right to recover their investments and receive the benefits
created.
